Constitution

Title |
|
The Guild shall be known as "The Linlithgow Arts
Guild" (hereinafter called "The Guild") |
| 2 |
Objects |
|
The purpose of the Guild shall be to promote and encourage
the performance, study, practice and knowledge of the Arts in Linlithgow
and the surrounding district. |
| 3 |
Membership |
|
This shall be open to anyone interested in the objects of
the Guild, but the Executive Committee shall retain the right to reject
applications. |
| 4 |
Administration |
|
- An Executive Committee shall be responsible for the administration,
management and control of the affairs and property of the Guild.
- The Executive Committee shall consist of a Chairman, Vice Chairman,
Secretary and Treasurer who shall be elected annually and nine members
who shall be elected to serve a term of three years, one third
retiring annually.
- The limits for holding a particular office continuously shall be:
Chairman and Vice Chairman three years Secretary and Treasurer five
years Members two terms In the event of there being no alternative
nominee for any position, the Annual General Meeting may re-elect a
person annually beyond the limits.
- The Executive Committee shall have power to fill any vacancies
arising between Annual General Meetings to cover the term of the post
vacated.
- The Executive Committee may establish such sub-committees and co-opt
any person as they shall deem necessary .
- The Executive Committee may propose to an Annual General Meeting
nominations for Honorary President or Vice Presidents.
- The quorum for meetings of the Executive Committee shall be five.

Finance |
|
- The annual subscription shall be decided by the Executive
Committee.
- A bank account shall be opened in the name of the Guild.
- All money collected shall be banked by the Treasurer.
- All payments by the Treasurer shall be made on the authority of the
Executive Committee.
- Cheques drawn on the bank account shall be signed by two authorised
signatories.
- The funds of the Guild shall be applied solely towards the promotion
of the objects of the Guild.
- At each meeting of the Executive Committee the Treasurer shall give
a statement of the accounts.

Annual General Meeting |
|
- The Guild shall hold an Annual General Meeting in each year at such
time and place as the Executive Committee sha11 determine.
- Notice shall be given at least four weeks prior to the proposed
date.
- It shall receive the Annual Report, the Financial Report and
certified statement of accounts.
- It shall elect the Executive Committee.
- It shall appoint a member or non-member to check the financial
records of the Guild and to certify that the statement of accounts is
a true representation of these records.
- All nominations shall be in the hands of the Secretary prior to the
start of the meeting.
- Any member may have a motion placed on the agenda by submitting it
in writing to the Secretary not less than fourteen days prior to the
meeting.
- The Chairman may at his discretion accept motions at the
meeting.
- All fully paid up members attending the meeting shall be entitled to
vote and in addition the Chairman shall have a casting vote in case of
an equality of votes.
- The quorum for the Annual General Meeting shall be 10% of the
membership

Special General Meeting |
|
- A Special General Meeting may be convened at the discretion of the
Executive Committee, or following receipt by the Secretary of a
written request signed by at least 25% of the membership.
- At least fourteen days notice must be given to all members of the
purpose of such a meeting.
- No quorum shall be required.
- Any proposal made at such a meeting must be carried by at least two
thirds of the members present and voting.

Changes to the constitution |
|
- Any changes to the Constitution sha11 be made at a Special General
Meeting or Annual General Meeting.
- Proposed amendments shall be in the hands of the members at least
seven days before the date of such a meeting.

Dissolution |
|
- The Guild may at any time be dissolved by a resolution passed at a
Special General Meeting convened for that purpose.
- All remaining assets of the Guild at the date of dissolution shall
be dispersed according to the wishes of the meeting under the terms of
5(f).
